The Terra 2010 Mining & Energy Flow-Through LP is a private flow-through investment fund sold by offering memorandum to accredited, non-accredited, eligible and sophisticated investors. This fund invests in publicly traded energy and mining companies and is managed by Gerry Brockelsby of Marquest Asset Management Inc. who has over 35 years resource investing experience. The Fund provides innovative features and up to 115% in tax deductions and 15% in federal investment tax credits for qualified mining investments. The fund also and seeks to achieve above average performance by investing in a select portfolio of approximately 30 energy & mining companies.

Beginning September 30, 2011 investors may redeem or donate their mutual fund shares or hold for longer-term returns.
DUAL CLASS STRUCTURE
Terra 2010 Mining & Energy Flow-Through LP is Terra’s first dual class LP. The dual class structure is unique to Terra and offers both A Class and F Class units. F class units are for financial advisors who offer fee-based programs to their clients. The dual class structure provides advisors and investors more flexible options for making flow-through investments.

To ensure liquidity, Terra’s fund does not invest in private companies. This fund’s minimum investment is $10,000 and is available to Canadian investors in all provinces and territories. Upon dissolution of the LP on or about March 31, 2010, investors receive redeemable mutual fund class shares on a tax-deferred basis in the Terra Small Cap Resource Mutual Fund.
